Ars Legis (Ed.): Das Recht der Kapitalgesellschaften in Europa — Rights of Propriety Companies in Europe
The work introduces the propriety companies in the European Union member states as well as in Switzerland and gives an overview of the relevant legal regulations which have to be taken into consideration. According to the concept of the book, the authors focus on a short and concise description.The book is addressed to enterprisers and managers as well as their commercial, fiscal and legal advisors.
First of all, the individual articles deal with propriety societies in an overview and practices of establishment including capital resources, costs and fees. Then, the organs of the companies are described. In the following, taxes in each country as well as company liability, including organ and potential shareholder liability, are explained. Each country chapter is concluded with an explanation about potential penal responsibility.
The text also takes into consideration that European norms increasingly influence and form national rights. In this case, we refer to the "Aktionsplan zur Modernisierung des Gesellschaftsrechts zu Verbesserung der Corporate Governance" ("Plan of Action about the Modernisation of the Company Law for the Improvement of Corporate Governance") from 21st May 2003 of the European Commission. According to this political will, conditions for actions of propriety companies across borders have been and will be simplified considerably.
In the context of a company’s corporate decision "to go abroad", there are often some complicated legal questions. Nowadays, answers to these questions can only be given by qualified consultants who operate in European and international networks.

Thanks to the help of numerous Ars Legis colleagues, the Heidelberger Kommentar zum Markenrecht could be newly edited.The new edition of volume 1 of the "Commentary on Trademark Law" contains explanations about the Trademark Act and trademark law of a selection of foreign countries. A commentary on the community trademark regulation will follow in 2009 in volume 2.
Changes through the law concerning the "improvement of the enforcement of rights of intellectual property" (in force since 1st September 2008), have already been taken into consideration. This law mainly serves the realisation of the EU enforcement guidelines.
The explanations start with a short overview of the history of trademark law and its incorporation into the legal order. The commentary on trademark law is well structured and offers a good overview of legal practice. Also the influence of European law and the relation of trademark law to the legislation of trademark protection through the TRIPS-treaty are explained thoroughly.
The second chapter gives an overview of the trademark law in the most important member countries of the European Union which had to realise the guidelines for trademark laws in the same way as Germany did. Trademark law guidelines in India, Switzerland, the USA, Croatia, Norway, Turkey and China are explained as well. Additionally, Chinese domain law is discussed.
The additional wording of the law with the European index of protected designations of origin and protected geographical indications as well as an index of cases with identification of sources in the appendix are of practical use for the reader.
